The Corporate Law Department of Épron Quievy & Associés assist companies of all sizes, working in all sectors and registered in a range of countries with their day-to-day corporate law issues, from registration through to winding up.

In this respect, our team produce all the instruments and complete all the administrative formalities involved in the registration of a company and also assist the founders in drafting and signing of extra-statutory agreements, and in particular shareholders’ agreements.

The firm’s corporate law practice also covers defining structures for groups of companies in France and abroad, in particular by creating active or financial holding companies, setting up of subsidiaries or branches and organising the contractual relationships between the group’s various entities.

Last but not least, the corporate law department is involved in the organization of remuneration for managers (management packages, good leaver/bad leaver provisions) and employees (free share plans, profit-sharing), in particular by making use of the numerous special securities regimes offered by French law.

In order to enable an informed decision to be made, the corporate lax department’s attorneys advise managers not only on the legal aspects of these operations but also their accounting and tax implications.

On a day-to-day basis, Épron Quievy & Associés’ attorneys advise companies in organising, holding and completing the formalities associated with their shareholders’ general meetings, as well as on management of their legal registers. In this respect, they coordinate the work of certified public accountants, and where required, statutory auditors.

Épron Quievy & Associés supports company managers in decision-making and advise on the implementation. In particular, the attorney of the corporate law department advises managers on the scope of actions that they may complete themselves, and on the implementation of prior authorization procedures where this is required.

They also help shareholders to exercise their rights fully, whether they have a majority or a minority, and regardless of whether a conflict exists between them or not.

By maintaining a fluid relationship with the accountants in charge of their clients, the firm’s attorneys ensure that the decisions adopted are correctly reflected in the accounts and that the financial events requiring it are the subject of the necessary legal actions in due time. As part of their corporate law support, the attorneys from the corporate law department are particularly aware of the accounting and tax implications of the legal operations they carry out.
